BURCON FILES PRELIMINARY SHORT FORM PROSPECTUS

Vancouver, British Columbia, May 28, 2009 — Burcon NutraScience Corporation (TSXV – BU) (“Burcon” or the “Corporation”) announced today that it has filed a preliminary short form prospectus with the securities regulatory authorities in the Provinces of British Columbia, Alberta, Saskatchewan, Manitoba, Ontario, New Brunswick and Nova Scotia in connection with a best efforts offering of common shares of the Corporation (the “Offering”). The net proceeds of
the Offering shall be used for continued research and development of the soy protein isolate extraction and purification technology (CLARISOY™), further refining of the canola protein isolate extraction and purification technology (Puratein® and Supertein™), filing new patent applications and expanding the Company’s intellectual property portfolio, and for general
working capital purposes.

The Offering will be led by Paradigm Capital Inc. with a syndicate comprised of BMO Capital Markets and Haywood Securities Inc. Final pricing and determination of the number of common shares to be sold pursuant to the Offering will occur immediately prior to the filing of the (final) short form prospectus in respect of the Offering.

The Offering is subject to regulatory approval including approval of the TSX Venture Exchange.
